1. About these terms
NabyDev Ltd (“NabyDev”, “we”, “us” or “our”) is a technology company based in Glasgow, Scotland. We provide web, software, IT and cybersecurity services to businesses.
These terms apply to your use of our website and to any services we provide to you. In these terms, “you” and “the client” mean the person or business using our website or buying our services.
If you have signed a proposal or written agreement with us and it conflicts with these terms, the proposal or written agreement takes priority.
2. Our services
The scope of each project is set out in a written quote or proposal. It describes what we will deliver, and anything not described in it is outside the scope unless we agree otherwise.
If you want to change the scope, we will agree the change with you in writing. A change may affect the price and the timeline, and we will tell you how before we start the extra work.
3. Quotes, orders and payment
Each quote is valid for the period stated in it. After that period we may change or withdraw it.
Payment terms, including any deposit and milestone payments, are set out in the quote or invoice. Prices exclude VAT unless we say otherwise.
If an invoice is not paid by its due date, we may charge interest and recover costs under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Client responsibilities
To help us deliver on time and to a good standard, you agree to:
- give us accurate and complete information;
- provide the content and materials we need, and give feedback in good time;
- make sure you hold the rights to any material you supply to us; and
- keep any access credentials you share or hold in connection with the work secure.
If something on your side causes a delay, such as late feedback or missing content, the timeline may move back by a similar amount.
5. Intellectual property
You own your own content. Once you have paid in full, you also own the bespoke deliverables we create specifically for you.
NabyDev keeps ownership of its pre-existing tools, code libraries and know-how, including anything we reuse across projects.
Third-party and open-source components stay under their own licences, and you agree to follow those licences.
We may mention the project in our portfolio unless you ask us not to. If you would rather we did not, tell us in writing.
6. Third-party services
Some parts of a project may rely on services provided by other companies, such as hosting, domain names, payment providers, email services and AI or voice tools.
Those services are provided under their own terms and may carry their own fees. We are not responsible for their outages, changes or decisions.
7. Confidentiality
Each side agrees to keep the other’s confidential information private and to use it only for the purposes of the work.
This does not apply to information that is already public through no fault of the person holding it, or that has to be disclosed by law or by a court or regulator.
8. Data protection and privacy
We process personal data in line with the UK GDPR and the Data Protection Act 2018. We handle enquiry details only to respond to you and to run our business.
Our website has an AI assistant called Saira. Saira is an automated assistant, not a person. Messages you type to Saira, and any contact details you submit through her, are sent to us as an enquiry so that we can reply.
Please do not put sensitive information in the chat, such as passwords, payment card details or health information.
Our Privacy Policy explains in more detail what we collect, why, who we share it with and your rights.
If you have a question about your personal data or want to exercise your rights, email hello@nabydev.com.
9. Website use
You may use our website for lawful purposes only. You must not:
- try to disrupt the website or breach its security;
- scrape, copy at scale or otherwise misuse the website or its content; or
- use the website in a way that is unlawful or harms others.
The information on our website is general and may change without notice. It is not advice for your specific situation.
10. Warranties and support
We deliver our services with reasonable skill and care.
If you report a defect within a reasonable period, as agreed in the quote, we will fix it.
We cannot guarantee that a website, app or system will run without interruption or errors, or that it will reach any particular search ranking or produce any particular business result.
11. Limitation of liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.
Our total liability to you for any claim is limited to the fees you have paid for the service that the claim relates to.
12. Cancellation and termination
Either side may end the agreement if the other commits a material breach and does not put it right within 14 days of receiving written notice of it.
If the agreement ends, you pay for the work we have done up to the date it ends.
Any terms that are meant to continue after the agreement ends, such as those on payment, intellectual property, confidentiality and liability, will do so.
13. Complaints
If you are unhappy with something, please contact us first by email at hello@nabydev.com. We will respond promptly and do our best to put things right.
14. Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they were last updated.
Changes do not affect projects that have already been agreed and are under way, unless both sides agree to apply them.
15. Governing law
These terms, and any dispute arising from them or from our services, are governed by the laws of Scotland. The courts of Scotland have jurisdiction.
